General conditions of sale
scope
These terms and conditions apply to all purchases from E-Com Unlimited LLPimprint,made by private customers.
Private customers in this sense are people with a place of residence and a delivery address in the Federal Republic of Germany, insofar as the goods they have ordered cannot be attributed to their commercial or independent professional activity.
conclusion of contract
A purchase contract is only concluded upon the seller's express confirmation of the order. An automatic confirmation of receipt of the order does not constitute acceptance of the purchase contract. Confirmation occurs upon delivery of the goods or their dispatch confirmation. The customer's order merely represents an offer to conclude a purchase contract, which we accept through delivery of the goods or through an express declaration of acceptance.
We reserve the right to reject the customer's offer or cancel the order at any time for good cause. Good cause may include, but is not limited to:
- Delivery bottlenecks or unavailability of the ordered goods,
- Doubts about the customer’s creditworthiness,
- Suspicion of fraudulent intent or misuse of our services,
- Force majeure or other unforeseeable events that make the execution of the order significantly more difficult or impossible.
The seller assumes no obligation to the customer to accept the offer. A contract is only concluded upon acceptance of the offer by the seller. If the customer's offer is not accepted, the customer will be informed accordingly, and any payments already made will be refunded immediately.
The contract is only triggered by the customer or the customer's offer upon express acceptance by the seller. Unilateral declarations by the customer, such as a revocation or cancellation of the order, do not trigger a contract, but merely terminate the customer's offer.
prices and shipping costs
The prices shown are final prices including VAT for EU customers. For customers outside the European Union, final prices are displayed exclusive of VAT. Customs duties and other costs may apply. E-Com Unlimited LLP is not liable for these or any other costs incurred after the order has been dispatched. These costs are to be borne by the end customer; the amount depends on the respective customs regulations of the destination country. The amount applicable is the amount stated at the time of the binding order. In addition, there are shipping costs, which depend on the shipping method and the size and weight of the ordered goods. In the event of refusal of acceptance, non-collection of the shipment, address errors or other reasons for returning the order, we reserve the right to charge the customer for the return costs or to offset them against any outstanding refund.

Payment methods may be temporarily unavailable or deactivated. E-Com Unlimited LLP is not obligated to provide these payment methods to the customer.
late payment
If you default on payment, E-Com Unlimited LLP is entitled to charge default interest at a rate of 5 percentage points above the Euribor interest rate applicable at the time of the order (Euribor 12 months) per annum. If E-Com Unlimited LLP can prove that it has incurred greater damages due to default, E-Com Unlimited LLP is entitled to claim these.
Damages and compensation
The seller is only liable for damages caused by intentional or grossly negligent conduct. Further liability, in particular for indirect or consequential damages, is excluded.
We reserve the right to claim compensation for damages up to 100% of the original value, especially for orders:
- whose products have become unsaleable (e.g. tampered with, opened, mixed quantities),
- whose products are subject to market-specific fluctuations in value,
- for other reasons that may lead to a reduction in value or damage to E-Com Unlimited LLP.
We reserve the right to charge transaction fees or other costs associated with the customer's payment to customers who are not end customers or consumers, but who purchase in commercial quantities rather than household quantities. These fees shall be at least 3% of the total amount, but may not exceed 5%. The estimation of these quantities is the responsibility of E-Com Unlimited LLP and is based on the average quantities purchased by the customer.
E-Com Unlimited LLP reserves the right to restrict or even exclude the right of withdrawal in these cases, as these customers are not private individuals. Attempted misuse and other impermissible actions may also lead to the exclusion of the right of withdrawal.
The customer is obligated to take all measures to minimize damage. Damage caused during transport must be reported to the supplier and the seller immediately upon receipt of the goods.
right of retention
The customer is only authorized to exercise a right of retention insofar as his counterclaim is based on the same contractual relationship.
delivery
(1) Delivery will be made to the delivery address specified by the customer within

(2) If force majeure (natural disasters, war, civil war, terrorist attack) permanently makes delivery or any other service impossible, E-Com Unlimited LLP is not obligated to perform. Any amounts already paid will be refunded promptly by E-Com Unlimited LLP.
(3) E-Com Unlimited LLP may also refuse performance if this requires an effort that, taking into account the content of the purchase contract and the principles of good faith, is grossly disproportionate to the customer's interest in fulfilling the purchase contract. Any amounts already paid will be refunded promptly by E-Com Unlimited LLP.
(4) Bulky goods (packages with a volume larger than 1 square meter) are generally delivered by freight forwarder. E-Com Unlimited LLP expressly states that these goods will not be carried into the premises.
Inexpensive shipping method for returns
(1) When returning the goods and accessories, please use the original packaging if possible, even if it is damaged through an opening for the function test.
(2) Please use the fully stamped and addressed return label enclosed with the delivery for your return. This is the simplest and most cost-effective shipping option. You are not obligated to use this return procedure. However, if you choose an unnecessarily expensive shipping method, you may be required to pay us the higher costs compared to a cheaper shipping method.
(3) The customer shall bear the risk of shipping the returned goods.
If the goods are damaged or lost en route, the buyer is liable for any loss of value or damage.
retention of title
Until all claims against the customer arising from the purchase contract have been settled in full, the delivered goods remain the property of E-Com Unlimited LLP. As long as this retention of title exists, the customer may not resell or dispose of the goods; in particular, the customer may not contractually grant third parties any use of the goods.
defect rights
(1) A product that is already defective upon delivery (warranty case) will be replaced by E-Com Unlimited LLP with a defect-free product or professionally repaired (subsequent performance), at the customer's discretion and at E-Com Unlimited LLP's expense. The customer is advised that no warranty claim exists if the product had the agreed quality at the time of transfer of risk. A warranty claim does not exist in the following cases:
- a) in the event of damage caused by misuse or improper use by the customer,
- b) for damage caused by the products being exposed to harmful external influences (in particular extreme temperatures, humidity, unusual physical or electrical stress, voltage fluctuations, lightning, static electricity, fire).
(2) E-Com Unlimited LLP also provides no warranty for a defect caused by improper repair by a service partner not authorized by the manufacturer.
(3) If the type of subsequent performance requested by the customer (replacement delivery or repair) requires an expenditure that, considering the product price and the contract content and the principles of good faith, is grossly disproportionate to the customer's interest in the service – taking into account, in particular, the value of the purchased item in a defect-free condition, the significance of the defect, and the question of whether the other type of subsequent performance can be used without significant disadvantages for the customer – the customer's claim shall be limited to the other type of subsequent performance. E-Com Unlimited LLP's right to refuse this other type of subsequent performance under the aforementioned conditions remains unaffected.
(4) For both repair and replacement, the customer is obligated to return the product at E-Com Unlimited LLP's expense, stating the order number, to the return address specified by E-Com Unlimited LLP. Before returning the product, the customer must remove any items inserted into the product. E-Com Unlimited LLP is not obligated to inspect the product for the presence of such items. E-Com Unlimited LLP is not liable for the loss of such items unless, upon return of the product, it was readily apparent to E-Com Unlimited LLP that such an item had been inserted into the product (in which case, E-Com Unlimited LLP will notify the customer and hold the item for collection; the customer shall bear the associated costs). Furthermore, before sending a product for repair or replacement, the customer must create separate backup copies of the system software, applications, and all data on the product on a separate storage medium, if applicable, and deactivate all passwords. Liability for data loss is not assumed. Likewise, the customer is responsible for installing the software and data and reactivating the passwords after the repaired product or replacement product has been returned.
(5) If the customer sends the goods in to get a replacement product, the return of the defective product is based on the following stipulation: If the customer was able to use the goods between delivery and return in a defect-free condition, this has the value of the goods drawn from him reimburse uses. The customer must pay compensation for loss or further deterioration of the goods that was not caused by the defect and for the impossibility of handing over the goods that did not occur due to the defect in the period between delivery of the goods and return of the goods. The customer does not have to pay any compensation for the deterioration of the goods caused by the intended use of the goods. The obligation to compensate for the value does not apply to the return of a defective product in a warranty case,
- a) if the defect that entitles you to withdraw only became apparent during the processing or transformation,
- b) if E-Com Unlimited LLP is responsible for the deterioration or loss or if the damage would also have occurred to E-Com Unlimited LLP,
- c) if the deterioration or loss has occurred at the customer's premises, although he has observed the care that he uses in his own affairs.
(6) The customer's obligation to pay damages in the event of a breach of the obligation to return the goods for which the customer is responsible is based on the statutory provisions.
(7) The customer can choose to withdraw from the contract or reduce the purchase price if the repair or replacement delivery does not lead to a contractual condition of the product within a reasonable period of time.
(8) In addition, there may also be claims against the manufacturer within the framework of a guarantee granted by the manufacturer, which are based on the corresponding guarantee conditions.
(9) E-Com Unlimited LLP's statutory warranty expires two years from delivery of the goods. This period begins upon receipt of the goods.
liability
(1) In cases of slight negligence, E-Com Unlimited LLP's liability is limited to foreseeable damages only for breaches of essential contractual obligations. This limitation does not apply to injury to life, limb, or health. E-Com Unlimited LLP is not liable for other damages caused by slight negligence due to a defect in the purchased item.
(2) Regardless of any fault on the part of E-Com Unlimited LLP, E-Com Unlimited LLP's liability remains unaffected in the event of fraudulent concealment of the defect or the assumption of a guarantee. The manufacturer's guarantee is a guarantee of the manufacturer and does not constitute an assumption of a guarantee by E-Com Unlimited LLP.
(3) E-Com Unlimited LLP shall also be liable for any impossibility of delivery occurring accidentally during its delay, unless the damage would have occurred even if delivery had been made on time.
(4) The personal liability of the legal representatives, vicarious agents and employees of E-Com Unlimited LLP for damages caused by them through slight negligence is excluded.
place of jurisdiction
If, contrary to the information you provided when placing your order, you do not have a residence in the United Kingdom, or if you move your residence abroad after conclusion of the contract, or if your residence is unknown at the time the action is brought, the place of jurisdiction for all disputes arising from and in connection with the contractual relationship shall be the United Kingdom.
protection of minors
If goods subject to minor protection laws are purchased, appropriate age verification measures will be taken to verify the identity and age of the buyer. Goods will only be handed over if the customer can provide proof of age.
dispute resolution
General information requirements for alternative dispute resolution in accordance with Art. 14 Para. 1 ODR-VO and Section 36 VSBG (Consumer Dispute Settlement Act):

Final Provisions
(1) Should individual provisions of this contract be or become invalid or void in whole or in part, this shall not affect the validity of the rest of the contract, insofar as a contractual partner is not unreasonably disadvantaged as a result.
(2) Changes or additions to this contract must be made in writing.
